Terms of Service

These terms apply to your use of nio-tech.net and to inquiries you submit through the site. They do not replace the project-specific contract you sign with us before we begin installation work. Where a signed project contract exists, it controls.

Who we are

Nio Tech Corp is a New York corporation operating as a low-voltage, security, and smart-home integrator. Our principal office is at 589 11th Avenue, 5th Floor, New York, NY 10036.

Use of our website

You may use our website to learn about our services, contact us, request a quote, view your account, or pay an invoice. You agree not to use the site to:

• Impersonate another person or entity.
• Send spam, malware, or content that infringes on someone else’s rights.
• Probe, scan, or test the site’s security without our written permission.
• Scrape or harvest content, contact details, or information about our clients.

We reserve the right to block any user or IP address that violates these terms or that interferes with the site’s normal operation.

Quotes, estimates, and proposals

Quotes and proposals provided through the site or by email are not binding contracts. They are good-faith estimates based on the information available at the time. A binding scope is established only when both parties sign a project contract or when you accept a written proposal in writing (including email confirmation).

Payment

For projects under contract, payment terms are stated in the signed contract. For website invoice payments, fees and terms are stated on the invoice itself. We accept ACH, credit card, and wire transfer. Late payments may incur interest at the rate stated on the invoice or, where no rate is stated, the maximum rate permitted under New York law.

Warranties and service

We warranty our installation labor for the period stated in your project contract (commonly one year from substantial completion). Manufacturer warranties on equipment we install are passed through to you per the manufacturer’s terms. We are not responsible for failures caused by tampering, modification by other contractors, power surges, water damage, building conditions outside our control, or normal wear of consumables.

We offer service contracts for ongoing maintenance, monitoring, and emergency response. Service contract terms are documented separately.

Limitation of liability

To the maximum extent permitted by New York law, our total liability for any claim arising out of or related to our services or this website is limited to the amount you have paid us under the contract giving rise to the claim, in the 12 months prior to the claim. We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, or loss of business, except where such limitation is prohibited by law.

This limitation does not apply to liability that cannot be limited under law (for example, liability for gross negligence, willful misconduct, or personal injury caused by our negligence).

Insurance

Nio Tech Corp carries commercial general liability and workers’ compensation insurance at limits appropriate for the size and type of project. Certificates of insurance naming the building, GC, or property manager as an additional insured can be requested as part of any project engagement.

Intellectual property

The contents of nio-tech.net (text, images, logos, and code, except for content you submit) are owned by Nio Tech Corp or our licensors. You may view, print, and download content for personal or business reference. You may not republish, mirror, or use our content commercially without our written permission.

Third-party links

Our website may link to third-party sites (manufacturer pages, social media, payment processors). We are not responsible for the content, privacy practices, or terms of those sites. Visiting them is at your own risk.

Modifications to these terms

We may update these terms from time to time. The current version is always posted at /terms-of-service/. If we make material changes, we will note the change at the top of this page or notify active clients. Continued use of the site after a change means you accept the updated terms.

Termination

We may terminate or restrict your access to the website at any time, for any reason, without notice, particularly if we believe you have violated these terms.

Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or related to these terms or the website shall be resolved in the state or federal courts located in New York County, New York. You and Nio Tech Corp each agree to submit to the personal jurisdiction of those courts.

For project-specific contracts, dispute resolution is governed by the dispute-resolution clause in that contract, which may include mediation or arbitration.

Severability

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in effect.
